Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by VoxPulsar ("we," "our," or "us"), a political communication agency. By engaging our services or using our website (voxpulsar.com), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a political campaign, organization, or government entity, you represent that you have the authority to bind that entity to these Terms.

Description of Services

VoxPulsar provides political communication and social intelligence services, including but not limited to:

The specific scope, deliverables, and terms of each engagement are defined in a separate Service Agreement between you and VoxPulsar. These Terms apply in addition to any Service Agreement.

• 24/7 social media monitoring and reputation management
• AI-assisted crisis detection, response generation, and content creation
• Strategic communication consulting and planning
• Analytics, reporting, and intelligence briefings
• Content strategy and multi-platform publishing management

Eligibility

Our services are available to individuals who are at least 18 years of age and have the legal capacity to enter into contracts. By using our services, you represent and warrant that you meet these requirements.

We reserve the right to refuse service to any individual or entity at our sole discretion, including in cases where accepting a client would create a conflict of interest with an existing client.

Client Accounts and Access

If we provide you with access to client dashboards, reports, or other digital tools as part of our services, you are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver our services
• Grant us necessary authorizations and access to your social media accounts as required by the Service Agreement
• Review and approve all content and responses before they are published on your behalf (unless auto-respond mode is explicitly authorized in writing)
• Comply with all applicable laws and regulations, including campaign finance laws, election laws, and social media platform terms of service
• Not use our services for any unlawful purpose, including spreading disinformation, harassment, or hate speech

Intellectual Property

All proprietary technology, AI models, methodologies, processes, and tools used by VoxPulsar in delivering our services remain our exclusive intellectual property. You receive no ownership rights in our technology or systems.

Content created specifically for you as part of our services (posts, responses, reports) becomes your property upon payment and delivery, subject to our right to use anonymized and aggregated data for improving our services.

Payment Terms

Fees for our services are specified in your Service Agreement. Unless otherwise agreed, payments are due within 30 days of invoice. We accept payment in USD (via Stripe) and ARS (via bank transfer).

Late payments may result in suspension of services and will accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Confidentiality

We understand the sensitive nature of political communication. All information shared with us in the course of our engagement is treated as strictly confidential. We will not disclose your strategies, internal communications, or any non-public information to any third party.

This confidentiality obligation survives the termination of our engagement and remains in effect indefinitely, except where disclosure is required by law.

Limitation of Liability

To the maximum extent permitted by law, VoxPulsar's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you during the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or reputational damage, even if we have been advised of the possibility of such damages. We are not responsible for the actions of third-party social media platforms, their algorithmic decisions, or their content moderation policies.

Termination

Either party may terminate the service engagement as specified in the Service Agreement. Upon termination, you remain responsible for fees incurred up to the termination date.

We may immediately suspend or terminate services if you breach these Terms, fail to make required payments, or use our services for unlawful purposes. Sections regarding confidentiality, intellectual property, and limitation of liability survive termination.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

Before initiating arbitration, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least 30 days.

Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes via email at least 30 days before they take effect. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
